Cripps has advised Findel Education Limited on its acquisition of CES Holdings
Cripps, through its French desk, has advised Findel Education Limited (Findel), a UK subsidiary of longstanding French client Manutan, on its acquisition of “CES Holdings” – an international education supply business, from CSG Global Education Ltd.
The acquisition supports Findel’s continued growth in the education supplies sector and involved UK and complex cross-border elements. Cripps advised Findel throughout the transaction, working closely with the client and its advisers to support a successful completion.
Delphine Delvert-Montigny, Group Legal Counsel of Manutan, said: “Cripps’ French Desk provided pragmatic, responsive, and fully coordinated legal support, covering international M&A, the structuring of the transaction under English law, as well as the sensitive aspects of international employee transfers, in a multicultural environment. Their in depth understanding of the challenges faced by French groups operating internationally, combined with a strong expertise in English law and cross border transactions, enabled us to deliver this strategic acquisition within very tight deadlines.”
Olivier Morel, Manutan Group’s Client Partner at Cripps said: “This was a strategically important acquisition for Findel, involving both UK asset transfer arrangements and a coordinated UAE workstream. We were pleased to support the Findel team in delivering the transaction to timetable while managing the legal and operational issues required to maintain continuity after completion.”
The Cripps team was led by Alexander Bishop and included Sonia Dib, Esther Omojola, Anna Drapper, Elliot Fry, Kathryn Rogers, Emma Saunders, Phillipa Roblett, Erin Willock, Oliver Fox and Rachel Holdaway.
Other advisers to Findel included PwC France and Amereller, Dubai counsel. Bevan Brittan LLP acted for the seller.
