Cripps advises Flick Learning EOT trustees on sale to Impact Futures Group
Cripps has advised Flick Learning’s employee ownership trust on the sale of the entire issued share capital of Flick Learning Limited to Impact Futures Group, backed by August Equity.
Flick Learning is a specialist provider of accredited compliance e-learning courses, supporting more than 1,000 clients across the early years, schools, multi-academy trusts and charitable sectors. The business has built a strong reputation for delivering engaging digital learning solutions across areas including safeguarding, health and safety and education.
The Cripps team was led by Julie Hughes, supported by Katie Haylock and Beth Barns-Graham and Francesca Harrison and others across the firm.
Julie commented:
“This was a complex transaction which involved an EOT structure, trusts, option exercise and more. It was a pleasure to advise the EOT on the transaction as well as its responsibilities and duties, to get to know the founders of the business and to work closely alongside the team at Grant Thornton and NGM on this transaction”
Chris Richardson, founder of Flick Learning, commented:
“Thank you for your patience and expertise – we’ve always felt like we’ve been in very safe hands with the teams at Grant Thornton and at Cripps. We both feel we made an excellent choice up front choosing the team we did to get the deal done and it’s been a pleasure working with you all.”
